1. About XauMinded

XauMinded is an automated XAU/USD (gold) copy trading signal service operated by AIImperija, a company registered in Lithuania, European Union. Our service provides algorithmic trading signals delivered via MetaTrader 5 copy trading infrastructure. We also maintain a presence on social media platforms, including TikTok, where we publish trading performance updates and educational content using the TikTok Content Posting API.

2. Eligibility

By using our services you represent and warrant that:

• You are at least 18 years of age.
• You have the legal capacity to enter into binding agreements in your jurisdiction.
• Your use of our services complies with all applicable laws and regulations in your country of residence.
• You understand that trading financial instruments involves substantial risk of loss and is not suitable for all individuals.

3. Description of Services

XauMinded provides the following services:

• Copy trading signals — algorithmic XAU/USD trading signals delivered to follower MetaTrader 5 accounts. Followers mirror trades executed on the XauMinded signal account automatically.
• Performance reporting — public reporting of backtest and live trading performance metrics on our website.
• Social media content — educational and performance-related content posted to TikTok via the TikTok Content Posting API, operated by XauMinded on its own accounts or on accounts where authorisation has been granted.

We do not provide investment advice, portfolio management, or any service regulated under MiFID II or equivalent legislation. Past performance displayed is for informational purposes only and does not guarantee future results.

4. TikTok Integration and API Usage

XauMinded uses the TikTok Content Posting API to publish content to TikTok. By authorising our TikTok application you agree to the following:

• You grant XauMinded permission to post video content to your connected TikTok account on your behalf, limited strictly to trading performance updates and educational content pre-approved by you.
• We will only request the minimum TikTok API permissions necessary to perform content posting. We will not access your private messages, follower data, or any data not required for posting.
• You may revoke our access at any time through TikTok's app management settings at tiktok.com/settings.
• Our use of TikTok API data is governed by our Privacy Policy and by TikTok's Developer Terms of Service.
• You remain solely responsible for your TikTok account and for ensuring that all content posted complies with TikTok's Community Guidelines and Terms of Service.
• XauMinded is not affiliated with, endorsed by, or sponsored by TikTok or ByteDance Ltd.

5. Performance Fees

Access to the XauMinded copy trading signal is subject to a performance fee as follows:

• Followers retain 90% of all net profits generated in their account from copied trades.
• XauMinded charges a performance fee of 10% of net monthly profits only. No fee is charged in months where no profit is generated.
• Fee calculations are based on net closed profit per calendar month at 0.01 lot baseline, scaled proportionally to actual lot sizing.
• Fee terms for individual investors may be agreed separately in writing via hello@xauminded.com.

6. Risk Disclosure

Trading in foreign exchange and precious metal markets involves a high level of risk and may not be suitable for all investors. You should carefully consider your investment objectives, level of experience, and risk tolerance before accessing our signals.

• You may lose some or all of your invested capital. Do not invest money you cannot afford to lose.
• Backtest results presented on our website are based on historical data and are not a guarantee or reliable indicator of future performance.
• The XauMinded algorithm may pause automatically during adverse market conditions but cannot prevent all losses.
• Broker execution quality, spreads, and slippage may cause results on follower accounts to differ from signal account results.
• XauMinded does not hold any regulated financial services licence. Our service constitutes signal provision and not investment advice.

7. Intellectual Property

All content, code, strategy logic, scoring systems, branding, and materials on xauminded.com are the exclusive intellectual property of AIImperija / XauMinded. You may not:

• Copy, reproduce, or redistribute any part of our website or services without written permission.
• Reverse-engineer, decompile, or attempt to extract our trading strategy or algorithm.
• Use our brand name, logo, or performance data in any commercial context without prior written consent.

8. Prohibited Uses

You agree not to use our services or TikTok integration to:

• Post content that violates TikTok's Community Guidelines or Terms of Service.
• Engage in spam, deceptive marketing, or misleading financial promotions.
• Scrape, harvest, or collect data from our website or API integrations.
• Attempt to circumvent security measures or gain unauthorised access to our systems.
• Use the service for any unlawful purpose under applicable EU or Lithuanian law.

9. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or that any specific trading results will be achieved. To the maximum extent permitted by applicable law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by applicable law, XauMinded and AIImperija shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to trading losses, loss of profits, loss of data, or business interruption, arising from your use of our services or TikTok integration, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising from these Terms or our services shall not exceed the total fees paid by you to XauMinded in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless XauMinded, AIImperija, and their officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of our services, your TikTok account activity, your violation of these Terms, or your infringement of any third-party rights.

12. Modifications to Services and Terms

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice. We may also update these Terms at any time. Material changes will be communicated via a notice on our website at least 14 days before taking effect. Your continued use of our services after that date constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Lithuania and, where applicable, European Union law including GDPR and MiFID II. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Lithuania. Consumers in the EU may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
